Terms of Service
These Terms govern the Phase-0 RebillGuard service operated by Adam.Akad. RebillGuard is currently a founder-operated pilot and is not represented as a separate corporation, LLC or other newly formed RebillGuard legal entity.
1. Service
RebillGuard provides a managed review of LTL rebills and related shipment documents. The service may organize documents, calculate amount differences, extract machine-readable text, identify common freight-charge terminology and prepare observations for human review.
2. Human review and no guaranteed outcome
Automated signals are decision support only. They do not by themselves establish that a carrier charge is valid, invalid or recoverable. RebillGuard does not guarantee that a rebill will be reversed, reduced, credited or successfully disputed, and does not guarantee any specific financial outcome.
3. No legal, accounting or carrier representation
Unless separately agreed in writing, RebillGuard does not provide legal advice, accounting advice, tax advice, customs brokerage, freight brokerage, claims adjusting or representation before a carrier, court, regulator or other third party. You remain responsible for commercial decisions and for any dispute or claim you choose to submit.
4. Your authorization and responsibilities
You may submit only documents and information that you are authorized to share and process for the requested review. You are responsible for the accuracy and completeness of the materials you provide and for redacting unrelated sensitive information where practical. Do not use the service to upload unlawful material, malware, credentials or documents belonging to another party without authorization.
5. Pilot pricing and payment
During the founding pilot, the first completed rebill review for a customer is free. Unless otherwise agreed in writing before work begins, additional completed reviews are $99 per case. The fee is for completing the agreed review and is not contingent on recovery, carrier acceptance or dispute outcome. Taxes, if legally applicable, are additional.
6. Scope and incomplete cases
RebillGuard may determine that a case requires more evidence or is outside the current pilot scope. If important documents are missing, we may request additional materials or provide a limited review based on the evidence available. We may decline cases that present security, legal, operational or conflict concerns.
7. Confidentiality and security
We will use submitted information for operating the review service and related support, security and recordkeeping as described in the Privacy Policy. We use reasonable technical and organizational measures appropriate to the pilot, but no system can guarantee absolute confidentiality or security.
8. Intellectual property
You retain ownership of documents and information you submit. RebillGuard retains ownership of its software, review methods, templates, workflows and service materials, excluding your underlying data. You grant us the limited right to process submitted materials as necessary to provide, secure and improve the service.
9. Service availability
The pilot may change, pause or discontinue as we validate the service. We do not promise uninterrupted availability, permanent storage or suitability for time-critical filing deadlines. You should retain your own copies of all shipment and dispute records.
10. Limitation of liability
To the maximum extent permitted by applicable law, RebillGuard and its operator will not be liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost business opportunities or carrier decisions arising from use of the pilot. For a paid case, aggregate liability relating to that case will not exceed the amount you paid for that specific review, except where applicable law does not permit such a limitation.
11. Termination
You may stop using the service at any time. We may suspend or terminate access, refuse a submission or stop a review when reasonably necessary for security, abuse prevention, legal compliance, nonpayment or material violation of these Terms.
12. Changes and legal structure
We may update these Terms as the pilot or business structure evolves. If RebillGuard becomes operated by a newly formed entity, the Terms will be updated to identify that entity and any changed contractual details. Changes apply prospectively unless applicable law requires otherwise.
